1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the Masyaf mobile application ("App"), operated by Luxnation Hospitality Consulting GmbH ("Masyaf", "we", "us", "our"), a limited liability company incorporated under Austrian law.

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not create an account or use the App.

These Terms apply to all users, including property owners ("Owners") and prospective guests and travellers ("Guests").

2. Nature of the Service

2.1 Masyaf is a technology-enabled listing marketplace. We provide a platform that allows Owners to advertise Egyptian holiday properties and allows Guests to discover and contact those Owners directly.

2.2 Masyaf is not a rental agency, letting agent, tour operator, or party to any rental agreement between an Owner and a Guest. We do not own, manage, inspect, or control any listed property.

2.3 Masyaf does not process, guarantee, or facilitate payments between Owners and Guests. All rental arrangements, contracts, and payments are agreed and settled directly between Owners and Guests outside the App. Masyaf bears no liability in connection with any such arrangement.

2.4 Masyaf does not independently verify the accuracy, authenticity, availability, or pricing of any listing, the ownership or legal title of Owners to their properties, the right of any user to upload or distribute the content they submit, or the identity of any user. All listings are submitted by third parties and Masyaf takes no responsibility for, and makes no representations as to, the accuracy, completeness, or legality of any listing or any content within it. Users engage with each other at their own risk.

2.5 Masyaf reserves the right to review listings before or after publication. Where listing approval is enabled, a listing will remain in "pending review" status until approved by Masyaf. We may reject or remove any listing that does not comply with these Terms and will notify the Owner with a reason for rejection where possible.

2.6 Masyaf does not charge any commission on rental arrangements between Owners and Guests. Masyaf's only charges are the Ad Placement Fees described in Section 5, which are payable by Owners. An Owner — or any broker or agent acting on their behalf — may charge a Guest their own fees, commission, or service charges in connection with a property. Any such charge is agreed and settled solely between the Guest and that Owner, broker, or agent. Masyaf is not a party to it, receives no portion of it, and bears no liability in connection with it.

3. Eligibility

3.1 You must be at least 18 years of age to create an account or use the App.

3.2 By creating an account, you represent and warrant that you are at least 18 years old, that you have the legal capacity to enter into binding contracts, and that your use of the App complies with all applicable laws.

3.3 The App is designed for use in Egypt. Property listings must relate to properties located in Egypt.

4. User Accounts

4.1 You must provide accurate, current, and complete information when registering and keep your account details up to date.

4.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4.3 You must notify us immediately at [email protected] if you suspect any unauthorised access to your account.

4.4 You may not create multiple accounts for the same person or entity without our prior written consent.

5. Ad Placement Fees and Billing

5.1 Ad Placement Tiers

Property Owners pay a one-time Ad Placement Fee to publish a listing for 30 days. Tiers and associated costs are always displayed within the app.

5.2 Payment Processing

Ad Placement Fees are processed by our payment processor (currently Stripe for EGP billing). When you pay, you provide your payment card details directly to the payment processor via a secure interface. Your card details are never transmitted to or stored on Masyaf's own servers. Masyaf receives only a transaction confirmation and metadata (amount, date, tier, listing identifier). By paying, you authorise the payment processor to charge your nominated payment method once for the selected listing tier.

5.3 Listing Duration

Each Ad Placement runs for 30 days from the date of activation. At the end of the 30-day period, your listing is deactivated automatically. There is no automatic renewal and no recurring charge. To re-list your property, you must submit a new listing and pay a new Ad Placement Fee.

5.4 No Cancellation Required

As there is no recurring billing, there is nothing to cancel. Your listing runs for the full 30-day period from activation and then deactivates. If you no longer wish to advertise your property, simply do not re-list when the period ends.

5.5 No Refunds

All Ad Placement Fees are final and non-refundable once your listing has been activated. This applies without exception, including unused listing periods, periods of lower-than-expected inquiry volume, App downtime within the tolerance set out in Section 10, and listings hidden or removed by Masyaf following user reports, moderation review, or violation of these Terms (including Section 9 Prohibited Conduct and Section 8 User-Generated Content). No portion of any Ad Placement Fee will be refunded for time remaining on a listing that has been removed for cause.

5.6 Digital Services Withdrawal Waiver (EU / Austrian Consumer Law)

For users who may qualify as consumers under applicable Austrian or EU law: by paying an Ad Placement Fee and agreeing to these Terms, you expressly request that we begin providing the listing service immediately upon payment, before the expiry of any statutory withdrawal period. You acknowledge that by requesting immediate commencement you waive any statutory right of withdrawal you may otherwise have under the EU Consumer Rights Directive (2011/83/EU) or applicable national implementation, once the service has commenced and been performed in full.

5.7 Price Changes

We may modify Ad Placement Fee prices with at least 30 days' prior notice communicated by email or in-app notification. Any Ad Placement Fees paid before the effective date are not affected by the price change. If you do not agree to the new price, you may choose not to re-list after the effective date at no additional cost.

5.8 Failed Payments

If your payment fails, your listing will not be activated. Please retry with a valid payment method. We will notify you of payment failures by email or in-app notification.

By listing a property on Masyaf, you represent, warrant, and agree to the following:

7. Guest and Traveller Use

7.1 Guests may browse listings and contact Owners through the in-app messaging feature at no charge.

7.2 Masyaf does not verify the accuracy of listing information. Guests are solely responsible for conducting due diligence before entering into any rental arrangement.

7.3 All rental agreements are entered into directly between Guests and Owners. Masyaf is not a party to those agreements and accepts no liability arising from them.

7.4 Guests must not misrepresent their identity or intended use of a property when contacting Owners.

8. User-Generated Content

8.1 You retain ownership of all content you submit to the App ("Your Content"), including property photos, videos, descriptions, contact details, and profile information.

8.2 By submitting Your Content, you grant Masyaf a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to host, store, reproduce, modify (for formatting and resizing purposes only), publish, display, distribute, and make Your Content available — including through the App, the Masyaf website, listing share links, and Masyaf's promotional and marketing activities — for as long as Your Content remains on the platform and for a reasonable period thereafter to the extent necessary to operate the service.

8.3 You represent and warrant that, for every item of Your Content: (a) you are the sole author and owner, or you have obtained all rights, licences, consents, releases, and permissions necessary to upload, publish, and distribute that content via Masyaf and to grant the licence in clause 8.2; (b) Your Content does not infringe or violate the copyright, trademark, trade secret, privacy, publicity, moral, or other rights of any third party; (c) Your Content is accurate, current, and not misleading; and (d) Your Content complies with all applicable laws and with these Terms.

8.4 Masyaf is a hosting platform for third-party content. Masyaf does not pre-screen, verify, endorse, or guarantee the accuracy, authenticity, ownership, availability, pricing, or legality of any user content, including any listing. Reliance on any user content is at the user's own risk.

8.5 We reserve the right, but assume no obligation, to review, moderate, refuse, or remove any content at any time, with or without notice, that we reasonably believe violates these Terms, infringes third-party rights, or that we consider harmful, inaccurate, or objectionable.

8.6 If you believe content on the App infringes your intellectual property or other rights, contact us at [email protected] with details sufficient to identify the content and your rights, and we will review and act in accordance with applicable law.

9. Prohibited Conduct

You must not use the App to:

Violation of this clause — including uploading prohibited content — will result in immediate, permanent account termination without notice or refund. Masyaf reserves the right to report violations involving illegal content or the exploitation of minors to the relevant authorities.

10. Platform Availability

10.1 We will use reasonable commercial efforts to keep the App available at all times but do not guarantee uninterrupted or error-free access.

10.2 We may suspend, restrict, or modify the App at any time for maintenance or technical updates, and will use reasonable efforts to provide advance notice where practicable.

10.3 We are not liable for losses arising from App unavailability, except to the extent caused by our gross negligence or wilful misconduct.

11. Limitation of Liability

11.1 To the fullest extent permitted by applicable law, Masyaf's total aggregate liability to you arising out of or in connection with these Terms shall not exceed the total Ad Placement Fees paid by you to Masyaf in the three (3) calendar months immediately preceding the event giving rise to the claim.

11.2 To the fullest extent permitted by applicable law, Masyaf is not liable for any:

11.3 Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited under applicable mandatory law.

11.4 If you are a consumer under applicable Austrian or EU law, nothing in this clause affects any statutory rights that cannot be contracted out of.

12. Indemnification

You agree to indemnify, defend, and hold harmless Masyaf and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

13. Account Suspension and Termination

13.1 We reserve the right to suspend or permanently terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or harmful conduct, or if required by applicable law.

13.2 Upon termination, your right to access the App ceases immediately. If terminated for breach, no refund of any Ad Placement Fees will be provided.

13.3 You may delete your account at any time through the App's account settings. Deletion is subject to the data retention provisions in our Privacy Policy.

13.4 Mandatory pre-publication review. If any of your listings is removed or hidden following user reports or moderation review, we may, at our sole discretion, place your account under mandatory pre-publication review. While this status is active, every new or re-submitted listing on your account must be approved by Masyaf before it goes live, regardless of whether global listing approval is otherwise enabled. We may clear this status once we are reasonably satisfied that your activity complies with these Terms. This measure is in addition to, and not in lieu of, our right to suspend or terminate your account under clause 13.1.

14. Intellectual Property

14.1 The Masyaf App, including its name, logo, interface design, software code, and all content created by us, is owned by or licensed to Luxnation Hospitality Consulting GmbH and is protected by applicable intellectual property laws.

14.2 You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the App solely for the purposes set out in these Terms. You may not copy, reproduce, distribute, modify, or reverse-engineer our intellectual property without our prior written consent.

15. Governing Law and Dispute Resolution

15.1 These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law rules.

15.2 Any legal proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Vienna, Austria.

15.3 Nothing in this clause affects any mandatory consumer protection rights you may be entitled to under the laws of your country of habitual residence.

15.4 Before initiating formal proceedings, we encourage you to contact [email protected] to attempt informal resolution.

16. Changes to These Terms

16.1 We may update these Terms to reflect changes in our services, applicable law, or business practices.

16.2 We will notify you of material changes by in-app notification or email at least 14 days before the changes take effect.

16.3 Continued use of the App after the effective date constitutes acceptance of those changes. If you do not agree, you must stop using the App before the effective date.

17. General Provisions

Severability. If any provision of these Terms is found invalid or unenforceable, that provision shall be limited to the minimum extent necessary and the remaining provisions shall continue in full force and effect.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Masyaf regarding use of the App.

No waiver. Our failure to enforce any provision shall not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms to a successor entity in connection with a merger, acquisition, or sale of assets.

Language. These Terms are made in the English language. In the event of any conflict between the English version and a translated version, the English version shall prevail.

18. Account Deletion

18.1 In-app deletion. You can delete your account directly in the Masyaf app: go to your profile tab, tap the pen icon at the top right, scroll to Delete Account, and follow the confirmation steps. Deletion is immediate and permanent.

18.2 Deletion by email. If you cannot access the app, email [email protected] with the subject Account Deletion Request and include the email address or phone number on your account. We will process your request within 30 days of verifying your identity.

18.3 Data deleted. When your account is deleted, the following is permanently removed within 30 days: your profile (name, username, email, bio, avatar, cover photo), all property listings and their photos, activity data (likes, saves, follows, views), in-app messages and conversations, and your push notification tokens.

18.4 Data retained. The following data is kept after account deletion: payment and billing records (retained for 7 years under Austrian statutory accounting law); block list records (retained to prevent previously blocked users from re-contacting you if they re-register); anonymised usage and analytics data (retained for up to 24 months, with no personal identifiers).
